TERMS AND CONDITIONS FOR DOORSTEPS NEPAL

These terms and conditions ("Terms") govern your use of the services provided through https://www.doorstepsnepal.com and the Doorsteps Nepal mobile app (collectively referred to as the "Platform," and together with the services provided through the Platform, the "Services"). These Terms also incorporate our Privacy Policy, available at https://www.doorstepsnepal.com/privacy-policy ("Privacy Policy"), along with any guidelines, additional or supplemental terms, policies, and disclaimers that we may issue or make available from time to time ("Supplemental Terms"). The Privacy Policy and Supplemental Terms are integral components of these Terms. In the event of any conflict between these Terms and the Supplemental Terms concerning specific Services, the Supplemental Terms shall take precedence.

The Terms constitute a binding and enforceable legal contract between Tech Reeva Enterprise Private Limited (referred to as “Doorsteps Nepal”, “we”, “us”, or “our”), and you, a user of the Services, or any legal entity that books services on behalf of end-users (“you” or “Customer”). By using the Services, you represent and warrant that you have full legal capacity and authority to agree to and bind yourself to these Terms. If you represent any other person, you confirm and represent that you have the necessary power and authority to bind such person to these Terms.

By engaging with the Services, you confirm that you have read and understood these Terms, which may be updated from time to time, and that you agree to adhere to the requirements set forth. These Terms override any previous written agreements with you. If you do not accept these Terms or are unable to comply with the requirements, we ask that you do not use the Services.

1. SERVICES

(a) The Services consist of offering a Platform that enables you to coordinate and schedule a range of home-based services with independent third-party service providers, known as “Service Professionals.” In conjunction with these Services, Doorsteps Nepal plays a role in facilitating the transfer of payments to Service Professionals for the services they deliver to you, as well as collecting payments on their behalf..

(b) The term "Pro Services" refers to the services offered by Service Professionals. It should be noted that "Services" does not include Pro Services. Doorsteps Nepal does not provide Pro Services and is not accountable for their delivery. Service Professionals are exclusively responsible for the Pro Services they offer or provide through the Platform. Doorsteps Nepal and its affiliates do not employ Service Professionals, nor are Service Professionals considered agents, contractors, or partners of Doorsteps Nepal or its affiliates. Service Professionals do not have the authority to bind or represent Doorsteps Nepal

(c) The Platform is designated solely for your personal and non-commercial use, unless a different arrangement is established through a separate agreement. It is important to understand that the Platform is intended for use exclusively within Nepal. Should you choose to utilize the Services or Pro Services from a legal jurisdiction outside of Nepal, you will be considered to have accepted the terms and conditions of Doorsteps Nepal that are relevant to that jurisdiction.

(d) The Services are made available under various brands owned by or otherwise licensed to Doorsteps Nepal and its affiliates.

(e) A fundamental aspect of the Services offered by Doorsteps Nepal involves the ability to send you communications through text messages, electronic mail, or messaging applications such as WhatsApp and Viber. These communications may relate to your bookings, your engagement with the Services, or serve as part of promotional and marketing initiatives. Should you wish to discontinue receiving these text messages, you may do so by contacting Doorsteps Nepal at privacy@doorstepsnepal.com or by modifying the settings within the Platform. It is important to note that opting out may hinder Doorsteps Nepal’s capacity to provide the Services, or specific elements of the Services, to you.

(f) In certain circumstances, you might need to supply identification documentation to access the Services or Pro Services, and you agree to fulfill this obligation. Should you fail to provide the requested identification, you may be unable to use the Services or Pro Services.

(g) Doorsteps Nepal Credits:

(i Doorsteps Nepal reserves the right to provide promotional codes at its discretion, which can be exchanged for credits, additional features, or benefits associated with the Services and/or Pro Services. These promotional codes, referred to as "Doorsteps Nepal Credits," may be subject to specific terms and conditions.

(ii You acknowledge that (i) you will utilize Doorsteps Nepal Credits in a legal manner and solely for the purposes designated by these credits, (ii) you will refrain from duplicating, selling, or transferring the Doorsteps Nepal Credits in any form (including posting such codes on public platforms) unless you have obtained explicit prior consent from Doorsteps Nepal, (iii) Doorsteps Nepal reserves the right to disable the Doorsteps Nepal Credits at any time for any reason without incurring any liability to you, (iv) Doorsteps Nepal Credits cannot be exchanged for cash, and (v) Doorsteps Nepal Credits may become invalid before you have the opportunity to use them.

(iii) Doorsteps Nepal reserves the right to grant Doorsteps Nepal Credits to select users at its discretion, which may lead to varying charges for identical or comparable services accessed by other users.

(iv Doorsteps Nepal reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Doorsteps Nepal Credits, by you or any other user, if Doorsteps Nepal reasonably determines or believes that the use or redemption of the Doorsteps Nepal Credits was in error, fraudulent, illegal, or in violation of the applicable Doorsteps Nepal Credit terms or these Terms.

2. USER CONTENT

(a) Our Platform includes interactive features and services that allow users who have created an account with Doorsteps Nepal to post, upload, publish, display, transmit, or submit comments, reviews, suggestions, feedback, ideas, or other content on or through the Platform (“User Content”).

(b) To ensure the effective delivery of our services and maintain quality control, we may request reviews from you regarding Service Professionals. Similarly, Service Professionals may provide reviews about you. You agree and acknowledge that all reviews must be honest and not knowingly false, inaccurate, or misleading. Reviews will be used by Doorsteps Nepal for quality control purposes and to assess whether Customers and Service Professionals are suitable users of the Platform. If, at our sole discretion, we determine that you are not an appropriate user, we reserve the right to cancel your registration and remove your account from the Platform.

(c) By posting User Content, you grant Doorsteps Nepal a non-exclusive, worldwide, perpetual, irrevocable, transferable, sublicensable, and royalty-free licence to: (i) use, publish, display, store, host, transfer, process, communicate, distribute, make available, modify, adapt, translate, and create derivative works of the User Content for the functioning of, and in connection with, the Services; and (ii) use User Content for advertising and promoting the Services or providing evidence before a court or competent authority as required under applicable laws.

(d) In connection with these Terms and the licences granted under this clause, you hereby waive any claims arising out of moral rights or other similar rights related to the User Content.

(e) You agree and acknowledge that Doorsteps Nepal may, without prior notice to you, remove or restrict access to any User Content that, in its sole discretion, violates these Terms.

3. ACCOUNT CREATION AND RESPONSIBILITY

(a) To use the Services, you must create an account on the Doorsteps Nepal Platform (“Account”). You may need to provide certain details, including your phone number. To create an Account, you must be at least 18 years old.

(b) You confirm that all information provided for your Account is accurate and truthful. You agree to update your details on the Platform promptly if there are any changes.

(c) You are responsible for keeping your Account secure and confidential. Notify us immediately if your Account details are shared, used without permission, or if there is a security breach.

(d) You are responsible for all activities carried out through your Account, including those by others. Doorsteps Nepal will not be liable for any unauthorised access or misuse of your Account.

(e) By creating an Account, you agree to receive communications from us regarding:

(i) payment requests,

(ii) updates about Doorsteps Nepal and our Services,

(iii) promotional offers and services from us and our partners, and

(iv) other information related to the Services.

4. CONSENT TO USE DATA

(a) You agree that Doorsteps Nepal may collect and use your personal data in accordance with our Privacy Policy. The Privacy Policy, available at [insert Doorsteps Nepal Privacy Policy link], explains the types of personal data we collect and how we process this information.

(b) In addition to any consent provided in the Privacy Policy, you consent to Doorsteps Nepal sharing your information with affiliates or third-party service providers. Your data may be used for delivering our Services, conducting analytics, identifying trends, improving our Services, offering beneficial schemes, new promotions, and enhancing your overall experience.

(c) As required by applicable laws, we may be obligated to share your data with law enforcement agencies, government authorities, or related bodies in connection with criminal or civil proceedings. You acknowledge and agree that Doorsteps Nepal has the right to provide such data when directed by relevant authorities.

5. BOOKINGS

(a) Placing a Booking: The Platform allows you to request various Pro Services at a time that suits you, based on available slots. To make a booking, follow the instructions on the Platform and provide the required details. We will make every effort to find a Service Professional who can provide the requested service at your chosen time. If a Service Professional is not available for your preferred timeslot, we will contact you to arrange an alternative time.

(b) Confirmation: Once you place a booking request, you will receive confirmation via SMS, email, phone call or push notification. After your booking is confirmed, you must make the payment as per the terms indicated on the Platform. Once a Service Professional is assigned for the requested service, you will receive additional confirmation through the App, SMS, email, Phone call or a push notification.
(c) Cancellations: If you cancel a booking before it is confirmed on the Platform, no charges will apply. The cancellation policy of Doorsteps Nepal outlines any applicable fees for cancellations made after confirmation.
(d) Substitution: If the selected Service Professional is unavailable or cancels, we will provide a substitute from our registered Service Professionals to fulfill your booking.

6. PRICING, FEES, AND PAYMENT TERMS

(a) Doorsteps Nepal reserves the right to apply charges for the various services you may use and for any additional features you may opt for at different times through the Platform.

(b) Charges and Fees in respect of Pro Services:

(i) When availing Pro Services via the Platform, you are required to pay Service Professionals the amount specified at the time of booking, along with:

(a) Any additional Pro Services availed;

(b) Out-of-pocket expenses incurred by the Service Professional; and

(c) Costs associated with goods purchased or used for providing the Pro Service (“Charges”).

In addition to the Charges payable to Service Professionals, Doorsteps Nepal reserves the right to levy a convenience fee for facilitating bookings and transferring payments to Service Professionals (referred to as “Fees”). The final bill may include other charges such as, but not limited to, safety fees, warranty fees, insurance fees, or Service Professional welfare fees.

(ii) Doorsteps Nepal will provide you with information regarding the relevant Charges, Fees, and payment options during the booking process. Payments for Pro Services are typically accepted via credit cards, debit cards, Internet banking, mobile banking, various digital wallets, or cash upon service completion. However, Doorsteps Nepal retains the authority to alter or limit the payment methods available. It is important to understand that certain payment options, including cash upon completion, may not always be available. For cash transactions, you agree that both Charges and Fees must be settled directly with the Service Professional.

(iii) Charges and Fees may either be payable at the time of booking or upon completion of the service, as specified by Doorsteps Nepal.

(iv) . It is important to understand that payments are made directly to the Service Professionals, while Doorsteps Nepal functions exclusively as a limited collection agent representing the Service Professionals to assist in the collection and transfer of the amounts owed to them..

(v) Taxes: All Charges and Fees include applicable taxes.

(vi) Doorsteps Nepal reserves the right to amend Charges and Fees at its discretion. Any change in Fees will not affect bookings confirmed before the revised Fees are published on the Platform.

(vii) It is important to understand that payments are made directly to the Service Professionals, while Doorsteps Nepal functions exclusively as a limited collection agent representing the Service Professionals to assist in the collection and transfer of the amounts owed to them.

(viii) You acknowledge that Charges and Fees may vary significantly in specific geographical areas or during periods of high demand. Doorsteps Nepal will endeavor to notify you of such variations; however, by using the Platform, you accept responsibility for all Charges and Fees incurred under your account, irrespective of prior awareness.

(c) Payment Processors: Doorsteps Nepal may utilize third-party payment processors ("Payment Processors") to facilitate transactions. The payments processed will be governed by the terms and policies of these Payment Processors, in addition to the Terms outlined herein. Doorsteps Nepal does not accept any liability for errors or complications that may arise from the actions of Payment Processors. In the event of unsuccessful payments, refunds will be issued according to the policies established by the Payment Processor.

(d) Cancellation: You may cancel a booking for services prior to the arrival of the Service Professional. However, a cancellation fee may apply, as per Doorsteps Nepal’s cancellation policy. Doorsteps Nepal reserves the right to deduct applicable taxes from the cancellation fee, if any.

(e) Subscriptions: Doorsteps Nepal may offer subscription packages from time to time for monetary consideration, providing customers with additional benefits such as discounted Pro Services. Such subscription packages will be governed by additional terms and conditions, which will form an integral part of these Terms.

(f) Doorsteps Nepal does not allocate any portion of your payment as a tip or gratuity to Service Professionals. Any indication that tipping is “voluntary,” “not required,” or “included” in your payment is not intended to imply additional payments are provided to Service Professionals. While tipping is entirely voluntary, you may offer additional gratuities directly to the Service Professional if you wish to do so.

7. CUSTOMER CONDUCT

(a Doorsteps Nepal maintains a strict policy against discrimination towards Service Professionals based on race, religion, caste, national origin, disability, sexual orientation, sex, marital status, gender identity, age, or any other characteristic that is protected under applicable laws. This policy includes, but is not limited to, the refusal to accept Pro Services on any of these bases.

(bCustomers are required to treat all Service Professionals with respect and courtesy. It is essential to provide a safe, clean, and suitable environment for the execution of Services. Service Professionals reserve the right to refuse to perform Services if the location is deemed unsafe, unclean, or inappropriate, or if the customer exhibits discourteous, disrespectful, abusive, or otherwise inappropriate behavior. Doorsteps Nepal maintains the authority to suspend or terminate your access to its Platform and Services at its discretion if you engage in conduct that is considered discourteous, disrespectful, abusive, inappropriate, or unlawful towards Service Professionals

(c) Customers will be held accountable for any discriminatory behavior towards Service Professionals or for failing to provide a safe, clean, and appropriate environment for Services. Additionally, you are required to disclose any information that could affect the Service Professional's ability to perform their services or impact their health, safety, or well-being to Doorsteps Nepal and the respective Service Professional.

(d) In the event that a Service Professional acts in a discourteous, disrespectful, abusive, or inappropriate manner, or violates any law, you are required to report the incident to doorstepsnepal@gmail.com or by phone call at the earliest opportunity, and no later than 48 (forty-eight) hours after the incident.

8. THIRD PARTY SERVICES

(a) The Platform may feature services, content, documents, or information owned by, licensed to, or made available by third parties (“Third-Party Services”) and may contain links directing you to such Third-Party Services. You acknowledge and agree that Third-Party Services are the sole responsibility of the respective third parties that create or provide them, and your use of these Third-Party Services is entirely at your own risk.

(b) Doorsteps Nepal makes no representations, warranties, or guarantees regarding the Third- Party Services, including their accuracy, reliability, or completeness. Doorsteps Nepal disclaims all liabilities arising out of or related to such Third-Party Services. By availing any Third-Party Service, you agree to be bound by the terms and conditions and privacy policies of the respective third parties providing the services. All intellectual property rights related to Third-Party Services remain the property of their respective owners.

9. YOUR RESPONSIBILITIES

(a) You represent and warrant that all information you provide in connection with the Services is accurate, complete, and truthful at the time of your acceptance of these Terms and will continue to be so while utilizing the services. If there are any changes to the information you provide during the term of these Terms, you agree to notify Doorsteps Nepal without delay. Doorsteps Nepal will not be liable for any loss or damage that may arise from the provision of inaccurate, incomplete, or misleading information, or from your failure to disclose any relevant details.

(bYou consent to collaborate with Doorsteps Nepal in addressing any claims, disputes, or legal actions that may arise as a result of a violation of your obligations or responsibilities outlined in these Terms.

(c) Regarding the User Content you provide, you represent and warrant that:

(i) You own all intellectual property rights or have obtained all necessary permissions to provide such User Content and grant the required licenses under these Terms.

(ii) You are solely responsible for all activities occurring through your account and for all User Content.

(iii) The User Content does not violate any of your contractual obligations.

(iv) The User Content does not infringe upon or misappropriate any intellectual property, privacy, or proprietary rights of any third party.

(v) The User Content does not contain viruses, malware, or any harmful code that could disrupt or damage systems or data.

(vi) The User Content does not violate any laws or third-party rights. (vii) The User Content:

(A) Does not belong to another person without proper authorization.

(B) Does not threaten public order, safety, or Nepal’s sovereignty and integrity.

(C) Is not defamatory, invasive of privacy, discriminatory, obscene, hateful, or otherwise offensive.

(D) Does not restrict or inhibit others from using the Services.

(d) You agree not to misuse the Services. Specifically, you shall not:

(i) Violate proprietary rights, encompassing intellectual property rights

(ii) Copy, distribute, modify, reproduce, or create derivative works from the Services without authorization.

(iii) Upload harmful code, viruses, or software that disrupts operations. (iv) Use automated tools or processes to monitor or copy the Services. (v) Systematically retrieve content to create a database or directory. (vi) Use the Services for unlawful, fraudulent, or malicious purposes. (vii) Reverse engineer or decompile the Services.

(viii) Link to, mirror, or frame any portion of the Services without permission.

(ix) Violate any applicable laws.

(e) You guarantee that you will refrain from participating in any activities that may obstruct or disturb the Services..

(f) You agree not to attempt unauthorized access to the Services, systems, or networks associated with the Platform through hacking, password mining, or any other illegitimate methods.

(gYou acknowledge your commitment not to solicit, contact, or engage a Service Professional to sever their connection with Doorsteps Nepal or to deliver services independently without going through the Platform for booking. This restriction is implemented to protect the privacy and security of Service Professionals. You agree that this limitation is justified and essential, and any breach of this provision may result in adverse effects on Service Professionals

10. OUR INTELLECTUAL PROPERTY

(a) All rights, titles, and interests in and to the Services, including all intellectual property rights arising out of the Services, are owned by or otherwise licensed to Doorsteps Nepal in associate with Tech Reeva enterprise pvt ltd. Subject to compliance with these Terms, Doorsteps Nepal grants you a non-exclusive, non-transferable, non-sub-licensable, revocable, and limited license to use the Services in accordance with these Terms and any instructions issued by Doorsteps Nepal from time to time. Any rights not expressly granted herein are reserved by Doorsteps Nepal or its licensors.

(b) Doorsteps Nepal may request you to submit suggestions and feedback, including bug reports, related to the Services (“Feedback”). By providing Feedback, you agree that Doorsteps Nepal may freely use, disclose, publish, and exploit such Feedback without any obligation to acknowledge, compensate, or obtain additional consent from you.

(c) Except as expressly stated in these Terms, nothing in these Terms shall be construed as conferring any rights or licenses to the intellectual property of Doorsteps Nepal or any third party.

11. TERM AND TERMINATION

(a) These Terms shall remain in effect unless terminated in accordance with the provisions herein.

(b) Doorsteps Nepal may restrict, suspend, deactivate, or terminate your access to the Services, in whole or in part, under the following circumstances:

(i) Immediately, at its sole discretion:

(A) If you breach any obligations under these Terms.

(B) If you cease to be a user of the Services.

(C) If you fail to meet the eligibility criteria under applicable laws or Doorsteps Nepal’s policies.

(D) If you violate any community guidelines issued by Doorsteps Nepal.

(ii) Upon providing 30 (Thirty) days’ prior written notice to you.

(iii) Immediately for legitimate business, legal, or regulatory reasons.

(c) You may terminate these Terms at any time for any reason by notifying Doorsteps Nepal at its designated contact email or address.

(d) Upon termination of these Terms: (i) Your account will be deactivated

(ii) Access to the Services will be revoked.

(iii) The provisions of these Terms intended to survive termination shall continue in full force and effect.

12. DISCLAIMERS AND WARRANTIES

(a) The Services are delivered in their current state, without any warranties, either express or implied. This encompasses, but is not limited to, implied warranties regarding merchantability, appropriateness for a particular use, or non-infringement.

(b) No advice or information, whether oral or written, obtained from Doorsteps Nepal, shall create any warranty not expressly stated herein.

(c) While Doorsteps Nepal strives to provide accurate information about services and pricing, errors may occur.

(d) Doorsteps Nepal merely acts as a platform connecting users with service providers and is not liable for:

(i) The performance or non-performance of any service provider.

(ii) Any damages caused by service providers during service delivery. (iii) Any obligations outside of these Terms.

(e) Engaging with service providers independently is at your own risk, and Doorsteps Nepal disclaims all liability in such cases.

(f) Doorsteps Nepal does not guarantee the reliability, quality, or suitability of service providers and accepts no liability in this regard.

(g) You assume full responsibility for any consequences arising from your use of the Services.

(h) Doorsteps Nepal will maintain a grievance redressal mechanism in compliance with applicable laws and manage it reasonably on behalf of service providers.

(i) To the fullest extent permitted by law, Doorsteps Nepal disclaims all liability for: - (i) Inability to use or access the Services.

- (ii) Defects, interruptions, or delays in the Services.

- (iii) Loss of data or User Content.

(j) In no event shall Doorsteps Nepal, its officers, employees, or affiliates be liable for any indirect, incidental, punitive, or consequential damages arising from the use or inability to use the Services.

(k) Doorsteps Nepal’s liability shall not exceed the commission received for a specific booking, with a maximum liability cap of NPR 10,000 (Ten Thousand Nepalese Rupees).

(l) Nothing in these Terms shall limit any warranty or liability that cannot be excluded under applicable laws.

13. INDEMNITY

You agree to indemnify and hold Doorsteps Nepal, its affiliates, officers, employees, and agents harmless from any claims, losses, damages, liabilities, or costs arising out of:

(i) Your use of the Services.

(ii) Violation of these Terms.

(iii) Third-party claims resulting from your actions.

14. JURISDICTION, GOVERNING LAWS, AND DISPUTE RESOLUTION

(a) These Terms shall be governed by and construed in accordance with the laws of Nepal. Courts in Kathmandu shall have exclusive jurisdiction over disputes arising under these Terms.

(b) Disputes shall be resolved through arbitration in Kathmandu in accordance with Nepal’s prevailing arbitration laws. The arbitration tribunal shall consist of one arbitrator appointed by Doorsteps Nepal, and the proceedings shall be conducted in English or Nepali..

15. GRIEVANCE REDRESSAL

a) Doorsteps Nepal will strive to resolve complaints within the timeframes prescribed by applicable laws.

16. MISCELLANEOUS PROVISIONS

(a) Changes to Terms: Doorsteps Nepal reserves the right to amend these Terms at any time, with changes effective upon being posted. Continued use of the Services signifies acceptance of the revised Terms.

(b) Modification to Services: Doorsteps Nepal may modify or discontinue the Services at its discretion and is not liable for any resulting consequences.

(c) Severability: Should any provision of these Terms be found to be unlawful or unenforceable by a court or other competent authority, the remaining provisions shall remain in full force and effect. In instances where an unlawful or unenforceable provision could be rendered lawful or enforceable by the removal of a specific part, that part shall be considered deleted, while the remainder of the provision shall continue to be effective, unless such action contradicts the clear intent of the clause, in which case the entire provision will be regarded as deleted.

(d) Assignment: You shall not license, sell, transfer, or assign your rights, obligations, or covenants under these Terms, or your Account in any manner without our prior written consent. We may grant or withhold this consent at our sole discretion, subject to any conditions we deem appropriate. We may assign our rights to any of our affiliates, subsidiaries, or parent companies, any successor in interest of any business associated with the Services, or any third party without any prior notice to you.

(e) Notices: Notices must be sent to the designated contact email or address provided by Doorsteps Nepal.

(f) Third-Party Rights: No third party shall have any rights to enforce these Terms.

(g) Force Majeure: Our liability to you shall be nullified if we are unable to perform our obligations or continue our business due to acts, events, omissions, or accidents that are outside our reasonable control. Such circumstances may include, but are not limited to, strikes, failures in utility services or telecommunications networks, natural disasters, warfare, riots, civil unrest, malicious acts, or compliance with any applicable laws or governmental orders, rules, regulations, or directives.
